1. Website owner

2. Access to the website

LERIUM makes available to the public (hereinafter, the user) who accesses this website (hereinafter, the WEBSITE) information about its own products and services (hereinafter, CONTENT and/or SERVICES).

Access to certain sections of the portal will require acquiring the status of registered user, for which the indicated steps must be followed.

3. Proper use of services

The user undertakes to use the Services diligently, properly, and lawfully and, in particular, by way of example and without limitation, it is strictly prohibited to:

Use the Services in ways, for purposes, or with effects contrary to the law, morality, generally accepted good customs, or public order;

Reproduce or copy, distribute, allow public access through any form of public communication, transform, or modify the Services, unless authorized by the holder of the corresponding rights or legally permitted;

Carry out any act that may be considered an infringement of any intellectual or industrial property rights belonging to LERIUM or to third parties;

Use the Services and, in particular, any information obtained through the Website to send advertising, direct sales communications or communications for any other commercial purpose, unsolicited messages addressed to multiple people regardless of their purpose, or to market or disclose such information in any way.

The user shall be liable for damages of any kind that LERIUM may suffer as a result of the breach of any of the obligations set out above, as well as any others included in these General Conditions and/or imposed by law in relation to the use of the Website.

Any underage user must use the Website with the consent of their father, mother, or legal guardian, who will be responsible for any issue that may arise from the use of its services.

LERIUM will at all times ensure respect for the applicable legal system and will be entitled to interrupt the Service or exclude the user from the Website, at its sole discretion, in the event of alleged commission of any crimes or offenses defined by the current Criminal Code, or in the event of observing any conduct that, in LERIUM's opinion, is contrary to these General Conditions or may disrupt the proper operation, image, credibility, and/or prestige of LERIUM.

4. Rules of conduct

Users may contact LERIUM and interact in certain sections of the website, for example by sharing sections on social networks, provided they respect this code of conduct:

1. NO USER MAY IMPERSONATE ANOTHER PERSON OR ORGANIZATION; otherwise, they may incur an offense or crime under the Spanish Criminal Code and Civil Code.

2. DISRESPECTFUL AND OFFENSIVE LANGUAGE MAY NOT BE USED. Messages containing threats, serious insults, or any other type of comment that may offend sensitivities are not permitted. In such cases, LERIUM reserves the right to remove any content that violates this condition and to take the appropriate legal action.

3. IT IS STRICTLY PROHIBITED to present, cite, or recommend companies or web portals and, in general, to carry out marketing or spam actions. Such content will be removed together with the accounts that carried out the action, and may even be reported to the Spanish Data Protection Agency.

5. Property rights

All contents of the Website, such as texts, opinion articles, graphics, photographs, logos, icons, images, as well as graphic design, source code, and software, are the exclusive property of LERIUM or of third parties whose rights are legitimately held by LERIUM, and are therefore protected by national and international legislation.

The use of all elements subject to industrial and intellectual property rights for commercial purposes, as well as their distribution, modification, alteration, or decompilation, is strictly prohibited.

6. Exclusion of warranties and liability

LERIUM reserves the right to interrupt access to the services at any time and without prior notice, whether for technical, security, control, maintenance reasons, power supply failures, or any other justified cause.

Consequently, LERIUM does not guarantee the reliability, availability, or continuity of the Website or the Services, so users use them at their own risk and responsibility, and LERIUM may not be held liable in this regard at any time.

In addition, LERIUM assumes no liability arising from, by way of example but not limitation:

The use users make of the materials available on the website, whether prohibited or permitted, in breach of the intellectual and/or industrial property rights of the website content itself or of third-party portals.

Any damages to users caused by normal or abnormal operation of search tools, organization or location of content and/or access to services, and, in general, errors or problems generated in the development or implementation of the technical elements that form the service.

The content of pages that users may access through links included on the website.

Acts or omissions of third parties, regardless of whether such third parties may be contractually linked to LERIUM.

Likewise, LERIUM excludes any liability for damages of any kind that may be due to the presence of viruses or other harmful elements in the content that may alter computer systems or documents or systems stored in them; therefore, LERIUM shall not be liable in any case when the following occur:

Errors or delays in user access to services when entering data in the corresponding form, or any anomaly that may arise when such incidents are due to Internet network problems, force majeure, acts of God, or any other unforeseeable contingency beyond LERIUM's good faith.

Failures or incidents that may occur in communications, deletion, or incomplete transmissions, so the website services are not guaranteed to be constantly operational.

Errors or damage caused to the website by inefficient and bad-faith use of the service by the user.

Non-operability or problems with the email address provided by the user for sending the requested information.

In any case, LERIUM undertakes to solve any problems that may arise and to provide all necessary support to the user to reach a quick and satisfactory solution to the incident.

7. Links to other websites

LERIUM does not guarantee or assume any responsibility for damages suffered as a result of access to third-party Services/content through connections, links, or hyperlinks from linked sites, nor for their accuracy or reliability. The purpose of the links appearing on LERIUM is exclusively to inform the user of the existence of other sources of information on the Internet, where they may expand the Services offered by the Portal. LERIUM shall not be responsible in any case for the result obtained through such links or for the consequences arising from user access to them. These third-party Services are provided by third parties, and therefore LERIUM cannot and does not control the lawfulness or quality of the Services. Consequently, the user must exercise extreme caution when assessing and using information and services existing in third-party content.

The introduction of hyperlinks for commercial purposes on websites unrelated to LERIUM that allow access to this website without LERIUM's express consent is expressly prohibited. In any case, the existence of hyperlinks on websites outside the company shall not imply the existence of commercial or business relationships with the owner of the website where the hyperlink is established, nor acceptance by LERIUM.

8. Compensation

8.1. Penalty

The owner may sanction any users who breach the conditions applicable to them by preventing access, temporarily or indefinitely, to the website. The duration of the sanction will depend on the type of infringement committed. The access restriction shall not give rise to any right to compensation. However, depending on the seriousness of the situation, the owner reserves the right to go to court.

8.2. Damage, harm, loss, or cost

Any type of damage, harm, loss, or cost (including attorney and/or court representative fees) arising from a user's breach of these conditions or any others that may apply, incurred by LERIUM, must be compensated by the user who caused it. This includes any third-party claims arising from such breaches.

9. Registration as a website user

These Registration Conditions are entered into, on one side, by LERIUM, and on the other, by the User who has completed the corresponding form to create an account as a Manager or Investor and the steps indicated on the website for registration, together with acceptance of these Conditions.

9.1. Requirements and procedure to create a "Manager" account

Natural persons of legal age under Spanish law acting on their own behalf, or legally incorporated legal entities, may create an account on the website. In the latter case, the natural person must hold legal representation of the legal entity or company concerned (through a power of attorney or other documents to be provided as necessary documentation to complete the process). The User must access the "Create your account" option at the top right of the website and then complete the necessary data. Once completed, they must click "Request to be a manager" to start the registration process and creation of the investment club's own platform by LERIUM. They must complete all indicated steps and provide all documentation requested by LERIUM within its usual manager-user onboarding process. LERIUM must also provide the manager user with all necessary documentation, including information relating to the Privacy Policy and the rest of the Basic Information for reading. LERIUM will confirm the user's registration on the website by sending a welcome communication and launching their own platform, from which point they become a registered manager validated by LERIUM. If the registered manager does not remember their password, they must inform LERIUM and, after security and identity verification questions, LERIUM will reset the password. The owner reserves the right to check and verify the user's identity at any time as part of the process. Failure to comply with the requirements set out in this section or deception regarding identity entitles the owner to terminate such user at any time, exempting the owner from any liability for such action. These conditions apply only to the use of the website and the initial generic registration as a manager user. Together with these conditions are those regulated in the manager user platform license agreement, which must be read, understood, and signed by the manager user as part of the standardized process.

9.2. Obligations of the registered manager user

The registered manager user has the following obligations:

Not to register with multiple user accounts on the website, nor to do so with false data or by impersonating third parties. You are responsible for providing your real data.

Not to use or attempt to use another user's account without authorization or consent.

To be solely responsible for all activities carried out from your personal manager account at LERIUM.

To keep your access data confidential, since you will be responsible for any damage suffered by you or by third parties as a result of breaching these conditions. You are also responsible for what happens in your personal account unless its security has been compromised for reasons beyond your control.

Specifically, you must: keep the account up to date, store the chosen password confidentially, be the only user who uses the created account, and not market, sell, or transfer the account to a third party without LERIUM's express written authorization, a process that shall be governed by the applicable laws and regulations at the time of transfer. LERIUM reserves the right to verify the manager user profile and may delete or suspend the account in case of breach of these legal texts or any other applicable texts, including the manager user platform license agreement signed as part of the standardized account-opening process.

10. Data processing and use of cookies

In accordance with data protection regulations, we inform you that personal data provided through our website or by email will be processed by LERIUM SOLUCIONES TECNOLOGICAS, S.L., as data controller, under the legal basis of the consent given by the user for the purposes described in the privacy policy, which must be read, understood, and accepted for use of this website.

The user shall in all cases be responsible for the truthfulness of the data provided and may exercise rights of access, erasure, rectification, objection, restriction of processing, and portability by writing to the company, either at its registered office or by email to info@lerium.es, provided they prove their identity. If they consider it appropriate, they may also contact the Spanish Data Protection Agency.

For its part, LERIUM undertakes to comply with the duty of secrecy regarding personal data and has therefore adopted the necessary measures to prevent their alteration, loss, processing, or unauthorized access, taking into account the state of technology at all times.

LERIUM also informs you that visiting this website does not automatically register any personal data that identifies a User; however, certain non-personal information not identifiable with a specific User is collected during the live session through devices called "cookies", which allow us to obtain statistical information about the use of the website in order to make improvements. All users must consult our cookie policy to browse the website.

11. Applicable law and jurisdiction

Any interpretative or litigious issues that may arise shall be governed by Spanish law and, in the event of dispute, both parties agree to submit, expressly waiving any other jurisdiction that may correspond to them, to the jurisdiction of the Courts and Tribunals of the city of Valencia (Spain).

However, to resolve any interpretative or litigious issues that may arise from the purchase of bonds, the parties shall submit to the courts and tribunals of the consumer's domicile.
